Parties:
Dr. Rx (The Website Owner)
Freiheit GmbH (The Strategic Partner)
1. Purpose of the Partnership:
The parties to this partnership shall promote an ecotour (the Ecotour) based on gaeltacht.info and
gaelta.ie, owned by Dr. Rx. The Strategic Partner will be solely responsible for its operation.
2. Grant of License:
The Website Owner grants the Strategic Partner a non-exclusive, revocable license to use the Website
Owner’s websites and related content to promote and operate the Ecotour.
3. Strategic Partner’s Obligations:
Operation of the Ecotour: The Strategic Partner shall be solely responsible for the operation of the
Ecotour, including but not limited to planning, guiding, and managing the tour.
- Compliance with Laws: The Strategic Partner shall comply with all applicable Irish laws and
regulations, including but not limited to: - Environmental Protection Agency (EPA) Regulations: The Strategic Partner must adhere
to EPA regulations on environmental impact assessments, waste management, and protected species. - National Parks and Wildlife Service (NPWS) Regulations: If the Ecotour involves
protected areas, the Strategic Partner must comply with NPWS regulations. - Health and Safety Authority (HSA) Regulations: The Strategic Partner must ensure the
health and safety of participants and employees. - Insurance: The Strategic Partner shall maintain adequate liability insurance to cover any claims
arising from the operation of the Ecotour, assuring the Website Owner of this via a Solicitor’s letter. - Community Engagement: The Strategic Partner shall engage with the local community and
promote the economic benefits of the Ecotour. - Performance Metrics: The Strategic Partner shall provide reports, as agreed, to the Website
Owner on the performance of the Ecotour, including but not limited to visitor numbers, revenues and customer satisfaction.
4. Website Owner’s Obligations:
- Website Access: The Website Owner shall provide the Strategic Partner with access to the website
and related content. - Non-Interference: The Website Owner shall not interfere with the Strategic Partner’s operation of
the Ecotour. - The Website Owner shall share information with interested volunteers and local bodies.
5. Liability Waiver:
The Website Owner and volunteers shall not be liable for any injuries, damages, or losses suffered by the
Strategic Partner, its employees, or any third party in connection with the operation of the Ecotour.
6. Indemnification:
The Strategic Partner shall indemnify and hold harmless the Website Owner and its volunteers from any
and all claims, liabilities, damages, losses, costs, and expenses arising from or related to the Strategic
Partner’s operation of the Ecotour.
7. Revenue:
The Strategic Partner shall retain all revenue generated for it from the Ecotour.
8. Exit Strategy:
The parties may terminate this agreement upon written notice to the other party. In the event of
termination, the Strategic Partner shall cease to use all information associated with the Ecotour.
9. Legal Review:
This agreement shall be governed by Irish law. The parties agree to submit any disputes arising to
the Competition and Consumer Protection Commission (CCPC), which oversees ADR processes.
10. Intellectual Property:
The Website Owner retains all intellectual property rights related to the website and its content. The
Strategic Partner shall not use the Website Owner’s intellectual property for any purpose other than, as
agreed, in the operation of the Ecotour.
11. Confidentiality:
Both parties shall maintain the confidentiality of any confidential information disclosed to the other party in connection with this agreement.
Note: A lawyer will be consulted to ensure the agreement is comprehensive and tailored to the specific
needs of Ár gComhluadar.
Key Considerations include:
Insurance: Ensure the Strategic Partner has adequate liability insurance to protect both parties.
Community Engagement: Consider including specific provisions regarding community
involvement and benefits.
Intellectual Property: If the Website Owner has any intellectual property rights related to the
Ecotour, these should be addressed in the agreement.
Environmental Impact: If the Ecotour has a significant environmental impact, ensure that the
agreement includes provisions for environmental protection and sustainability.
Governing Law and Dispute Resolution: Choose a fair, efficient dispute resolution mechanism.
